Applicant certifies that the above information, given for credit purposes, is true and correct and authorizes Sierra Nevada Sales, Inc., to whom this application is made, and any credit bureau or other investigative agency to investigate the references, statements, or other data listed or accompanying this application. Applicant authorizes all parties contacted to release credit or financial information as part of said investigation. Applicant’s signature attests to financial responsibility, ability, and willingness to pay our invoice in accordance with the terms and conditions expressed on the invoice. Statements will be mailed at the end of each month, and Seller retains a first priority lien on all Goods delivered and reserves the right to file a UCC perfecting such lien at any time until the Applicant pays for all Goods in full. Invoices that exceed the 30-day terms will be considered late and will be charged a late fee of 2 ½% per month until paid.

Guarantor absolutely, unconditionally, and irrevocably guarantees, as primary obligor and not merely as surety, the punctual payment, when due, whether at stated maturity, by acceleration, or otherwise, of all present and future obligations, liabilities, covenants, and agreements required to be observed, performed, or paid by the Credit Applicant whether for principal, interest (including interest accrued after commencement of any insolvency, bankruptcy, or reorganization of the Credit Applicant), costs, expenses, and fees, and agrees to pay any and all reasonable costs, fees, and expenses incurred by Lender in any way related to the enforcement or protection of the line of credit extended from the Credit Application.
This Guaranty and any claim, controversy, dispute, or cause of action based upon, arising out of, or relating to this Guaranty shall be governed by and construed in accordance with the law of the State of California. Furthermore, Guarantor irrevocably and unconditionally agrees and submits that any suit or proceeding hereunder this Guaranty shall be brought exclusively in state or federal courts located in Kern County, California. Guarantor consents to this personal jurisdiction and venue of the state and federal courts of said county and waives any objection that such courts are an inconvenient forum.
